By accessing the Site and utilizing our data services, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, you are expressly prohibited from using the Site and must discontinue use immediately.

2. Services Overview

MSP Partners operates as a Business-to-Business (B2B) directory and data provider. We supply contact lists, company intelligence, and lead generation data specifically focusing on Managed Service Providers (MSPs), Managed Security Service Providers (MSSPs), Value-Added Resellers (VARs), and Cyber Security companies.

3. Permitted Use of Data and Compliance

The data, contact lists, and directory access provided by MSP Partners are strictly for B2B marketing, sales, and networking purposes. By purchasing, downloading, or requesting data from us, you agree to the following:

Lawful Use: You will use the data in strict compliance with all applicable local, state, national, and international laws, including but not limited to the CAN-SPAM Act (USA), GDPR (Europe), CASL (Canada), and PECR (UK).
nti-Spam and Marketing Compliance: You are solely responsible for determining whether and how you may contact any individual or business using the data. You must not use the Services to send unlawful, deceptive, abusive, harassing, or otherwise non-compliant communications. You are responsible for obtaining any consent required by applicable law, providing required sender identification and disclosures, maintaining suppression and opt-out lists, and honoring unsubscribe or objection requests.
No Resale: You may not resell, rent, lease, sub-license, publicly display, or distribute the data provided by MSP Partners to any third party without our express written consent.

4. Data Accuracy and Disclaimer

Business information is highly dynamic; professionals change jobs, and companies update their contact details frequently.

While we employ rigorous methods to ensure the data is as accurate and up-to-date as possible, we do not guarantee 100% accuracy, deliverability, or completeness of the information provided.
All data and directory listings are provided on an “AS IS” and “AS AVAILABLE” basis. We make no warranties regarding email open rates, conversion rates, or sales generated from our lists.

5. Purchases, Payments, and Refund Policy

Due to the digital and easily replicable nature of the data files we provide, all sales are final.

No Refunds: We do not offer refunds once a data file (e.g., CSV, Excel) has been delivered or accessed.
Data Replacement Policy: If the verified hard-bounce rate of an eligible purchased email dataset exceeds 5%, MSP Partners will review the customer’s bounce report and, where the records qualify under our replacement policy, provide replacement records for the verified invalid entries. This replacement remedy does not constitute a guarantee of 100% deliverability and does not entitle the customer to a cash refund.

6. Intellectual Property Rights

Unless otherwise indicated, the Site, its original content, directory structure, databases, website design, text, and graphics are the proprietary property of MSP Partners and are protected by copyright and trademark laws. You may not scrape, copy, or automate data extraction from our directory without permission.

7. Limitation of Liability

In no event shall MSP Partners, its directors, employees, or partners be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site or our data lists.

8. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of your use of the Services or breach of these Terms.

9. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Site or our data offerings at any time or for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site.
